SCRAPMONSTER ENTERPRISE DATA & API ADDENDUM

(Supplement to ScrapMonster Terms of Use)

This Enterprise Data & API Addendum (“Addendum”) applies to customers who purchase or access ScrapMonster enterprise data services, analytics, licensing, or API access (“Enterprise Services”). This Addendum supplements the ScrapMonster Terms of Use (“Terms”). Capitalized terms not defined here have the meanings set out in the Terms.

If there is a conflict between this Addendum and the Terms, this Addendum governs solely for Enterprise Services.

1. ENTERPRISE SERVICES SCOPE

Enterprise Services may include:

• API access to pricing or index data
• licensed redistribution of ScrapMonster data
• analytics integrations
• commercial data feeds
• custom enterprise subscriptions
• institutional data licensing agreements

Enterprise Services are intended for professional commercial use only.

2. SCRAPMONSTER INDEX AND DATA RIGHTS

All ScrapMonster pricing data, index values, calculations, derived metrics, and underlying methodologies remain the exclusive intellectual property of Scrap Monster, Inc.

Enterprise access does not transfer ownership of:

• the ScrapMonster Index
• pricing databases
• analytics models
• market intelligence content

Enterprise customers receive only a limited, revocable license defined by their subscription or written agreement.

3. PERMITTED USE

Unless explicitly authorized in writing, Enterprise customers may:

• access data internally for business operations
• display data within internal dashboards or tools
• use data for internal analysis or reporting

Enterprise customers may not:

• resell or sublicense data
• create competing pricing indices
• publish ScrapMonster data as a primary pricing benchmark
• redistribute API outputs to third parties

4. REDISTRIBUTION AND ATTRIBUTION

Where redistribution is permitted under a written agreement:

• ScrapMonster must be clearly credited as the data source
• attribution must remain visible and unaltered
• derived analytics must not obscure original source attribution

ScrapMonster reserves the right to audit public displays of licensed data.

5. API ACCESS AND TECHNICAL LIMITATIONS

Enterprise API access may include:

• rate limits
• field restrictions
• caching limitations
• access logging

You agree not to:

• bypass authentication controls
• attempt bulk extraction beyond licensed scope
• reverse engineer endpoints or data structures

We may suspend API access where usage threatens platform stability or violates licensing terms.

6. MARKET DATA POSITIONING

ScrapMonster data reflects proprietary market indicators and index movements.

Enterprise customers acknowledge:

• ScrapMonster data is not transactional pricing
• local yard prices may differ
• Enterprise customers remain responsible for how data is interpreted or used commercially.

7. SECURITY AND CONFIDENTIALITY

Enterprise customers must implement commercially reasonable safeguards to protect API credentials and licensed data from unauthorized access.

You agree to notify ScrapMonster promptly of any suspected breach.

8. AUDIT RIGHTS

ScrapMonster may request reasonable information to verify compliance with licensing terms, including:

• data usage scope
• redistribution channels
• attribution practices

Audits will be conducted in a commercially reasonable manner.

9. TERMINATION OF ENTERPRISE ACCESS

Enterprise Services may be suspended or terminated if:

• data is redistributed beyond licensed scope
• API usage exceeds agreed limits
• Terms or this Addendum are violated

Upon termination, enterprise licenses immediately cease.

10. LIMITATION OF LIABILITY

Enterprise Services are provided “as is” without guarantees of uninterrupted availability or accuracy.

Liability remains subject to the limitations set out in the ScrapMonster Terms of Use unless otherwise specified in a written enterprise agreement.

11. GOVERNING LAW

This Addendum is governed by the same governing law and jurisdiction specified in the ScrapMonster Terms of Use.
